Terms of Service

1. Agreement to Terms

By accessing or using Bugzy AI ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Bugzy AI is an autonomous QA agent platform that provides automated testing, quality assurance, and bug detection services for software projects. Our Service uses artificial intelligence to:

  • Generate and execute automated test cases
  • Identify bugs and quality issues in your applications
  • Integrate with your development workflow through GitHub and other tools
  • Provide insights and reports on software quality

The Service is provided as-is and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. When you create an account, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.

3.2 Account Security

You are responsible for safeguarding the password or credentials you use to access the Service and for any activities or actions under your account. You must:

  • Keep your password confidential
  • Notify us immediately of any unauthorized use of your account
  • Ensure that you exit from your account at the end of each session

We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a professional and ethical manner.

4.2 Prohibited Activities

You agree not to:

  • Use the Service in any way that violates any applicable national or international law or regulation
  • Transmit any material that is defamatory, offensive, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated system, including "robots," "spiders," or "scrapers" to access the Service without our express written permission
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to test applications that you do not own or have permission to test
  • Attempt to circumvent any usage limits or restrictions placed on your account
  • Resell, redistribute, or sublicense access to the Service without our express written permission

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Bugzy AI and its licensors. The Service is protected by copyright, trademark, and other laws of both Bulgaria and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

5.2 Your Content

You retain all rights to any content, code, or materials you submit to the Service ("Your Content"). By submitting Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process Your Content solely for the purpose of providing the Service to you.

You represent and warrant that:

  • You own or have the necessary rights to Your Content
  • Your Content does not violate any third-party rights
  • Your Content does not violate any applicable laws

5.3 Feedback

Any feedback, comments, or suggestions you provide to us regarding the Service ("Feedback") will be the sole and exclusive property of Bugzy AI, and we may use such Feedback without any obligation to you.

6. Payment and Billing

Note: Payment processing is currently in development. When launched, the following terms will apply:

6.1 Subscription Plans

The Service will be offered through various subscription plans with different features and pricing. Subscription fees will be billed in advance on a monthly or annual basis and will be non-refundable except as required by EU consumer protection law.

6.2 Usage-Based Billing

Certain features may be billed based on usage (e.g., number of test runs, execution time). Usage charges will be calculated monthly and billed in arrears. We will provide reasonable notice of usage-based charges.

6.3 Payment Terms

Payment must be made through the payment methods we support (e.g., credit card, bank transfer). You authorize us to charge your payment method for all fees incurred. If a payment fails, we may suspend or terminate your access to the Service after reasonable notice.

6.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will apply to subsequent billing periods and you will be notified at least 30 days in advance. Your continued use of the Service after the price change constitutes your agreement to pay the modified amount.

6.5 VAT and Taxes

All fees are exclusive of applicable Value Added Tax (VAT) and other taxes, duties, or similar governmental assessments. As a Bulgarian company operating in the EU, we will charge VAT according to Bulgarian and EU tax regulations. You are responsible for paying all applicable taxes associated with your use of the Service.

6.6 Refunds and EU Consumer Rights

For EU consumers, you have the right to withdraw from the contract within 14 days of purchase under the EU Consumer Rights Directive. However, by using the Service during this period, you acknowledge that you forfeit this right for the portion of the service consumed.

7. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

7.1 GDPR and Data Protection

We process your data in accordance with the EU General Data Protection Regulation (GDPR) and the Bulgarian Personal Data Protection Act (PDPA). All data is stored within the EU.

7.2 Data Controller vs Data Processor

For your account data, we act as the data controller. For data from your systems (documentation, issues, communication systems), we act as a data processor and you remain the data controller.

7.3 Your Responsibilities as Data Controller

When using the Service to test your applications and granting us access to your systems, you are responsible for:

  • Ensuring you have the necessary rights and consents to grant us access
  • Complying with GDPR and other data protection laws regarding your users' data
  • Not uploading or providing us access to special category data (health, biometric, etc.) without explicit authorization
  • Informing your users that a third-party testing service processes data

7.4 Data Processing Agreement (DPA)

B2B customers are required to sign our Data Processing Agreement (DPA), which is compliant with GDPR Article 28. The DPA outlines our obligations as a data processor and your rights as a data controller. View our Data Processing Agreement.

7.5 Your Data Rights

You have extensive rights under GDPR including access, deletion, portability, and more. See our Privacy Policy for complete details or contact privacy@bugzy.ai.

8. Third-Party Services and Integrations

The Service may integrate with third-party services such as GitHub, Slack, and others. Your use of these integrations is subject to the respective third party's terms of service and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services. Any issues with third-party services should be directed to the respective provider.

9. Service Availability and Modifications

9.1 Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. We may perform maintenance that temporarily interrupts access to the Service.

9.2 Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We will use reasonable efforts to notify you of significant changes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL BUGZY AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content
  • Bugs or errors in software being tested
  • False positives or false negatives in test results

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

BUGZY AI, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

  • The Service will function uninterrupted, secure, or available at any particular time or location
  • Any errors or defects will be corrected
  • The Service is free of viruses or other harmful components
  • The results of using the Service will meet your requirements
  • Test results will be accurate, complete, or error-free

YOU ACKNOWLEDGE THAT AUTOMATED TESTING IS NOT A SUBSTITUTE FOR HUMAN REVIEW AND THAT YOU REMAIN RESPONSIBLE FOR YOUR SOFTWARE QUALITY AND TESTING PROCESSES.

12. Indemnification

You agree to defend, indemnify, and hold harmless Bugzy AI and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

  • Your use of and access to the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Any claim that Your Content caused damage to a third party
  • Your testing of applications or systems you don't own or have permission to test

13. Term and Termination

13.1 Term

These Terms remain in full force and effect while you use the Service. You may terminate your account at any time by:

  • Using the account deletion feature in your team settings
  • Contacting us at privacy@bugzy.ai

13.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • We will retain your data for 30 days to allow for recovery
  • After 30 days, we will permanently delete your account and all associated data (except data we must retain by law)
  • You can export your data before deletion using the data export feature
  • You will not be entitled to any refund of prepaid fees (except as required by EU consumer protection law)
  • Provisions that by their nature should survive termination will survive (including Intellectual Property, Limitation of Liability, and Dispute Resolution)

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through:

  1. Informal Negotiation: We encourage you to contact us first at support@bugzy.ai to resolve any disputes informally.
  2. Mediation: If informal negotiation fails, the parties agree to attempt mediation before pursuing other remedies.
  3. Jurisdiction: If mediation is unsuccessful, disputes shall be resolved in the courts of Bulgaria. You consent to the exclusive jurisdiction and venue of such courts.

14.3 EU Users

If you are a consumer based in the European Union, you may also have the right to submit a complaint to your local data protection authority or consumer protection office.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Waiver

No waiver by Bugzy AI of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Bugzy AI to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bugzy AI regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements.

20. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
